Creator Supply & Dropshipping Agreement

Pre-launch notice: this agreement reflects the intended operating model and must be reviewed by qualified counsel together with the verified platform operator information before public launch.

1. Parties and Definitions

This Creator Supply & Dropshipping Agreement ("Agreement") applies between the verified operator of FindsWith.com ("FindsWith.com", "we" or "the Platform") and each approved Creator who offers goods through the Platform ("Creator" or "you").

A Creator is an independent supplier and fulfillment provider. FindsWith.com acts as the buyer-facing merchant of record for purchases completed through Platform checkout.

2. Independent Relationship

1. You operate independently and are not our employee, agent, partner, franchisee, or legal representative.
2. You control how you design, source, manufacture, package, and fulfill products, subject to this Agreement and Platform policies.
3. You may not make commitments on behalf of FindsWith.com or represent that you can bind the Platform.

3. Product and Supply Obligations

1. Product descriptions, images, prices, materials, origin claims, safety information, and availability must be accurate and lawful.
2. You must own or have all rights, licenses, and permissions needed to offer each product and its content.
3. Products must comply with applicable consumer protection, product safety, labeling, sanctions, export, and import requirements.
4. Counterfeit, infringing, unsafe, prohibited, or deceptively described products are not permitted.

4. Dropshipping and Fulfillment

1. You are responsible for inventory, packaging, shipping, tracking, delivery, and fulfillment within the time shown to the buyer.
2. You must maintain valid shipping templates and a return address before publishing physical products.
3. If you use a third-party manufacturer or fulfillment provider, you remain responsible for its acts, omissions, product quality, and data handling.
4. Buyer contact and shipping data may be used only to fulfill and support the relevant order.

5. Merchant of Record and Customer Payments

1. FindsWith.com is the buyer's transaction counterparty for Platform checkout and collects customer payment into its payment account.
2. FindsWith.com manages buyer-facing payment processing, refunds, chargebacks, and transaction support.
3. You authorize FindsWith.com to collect order amounts and deduct disclosed commissions, payment costs, refunds, chargebacks, reserves, taxes where applicable, and other amounts permitted by this Agreement.

6. Settlement and Reserves

1. Net Creator proceeds are recorded after payment confirmation and released under the settlement schedule shown in Creator Wallet.
2. Settlement requires completed identity verification and a verified payout account. The current payout method is bank transfer.
3. We may hold or offset funds reasonably needed for refunds, chargebacks, suspected fraud, legal obligations, or a negative Creator balance.
4. Wallet balances are account records, not bank deposits, stored value, or customer funds available for general spending.

7. Returns, Refunds, and Chargebacks

1. You must cooperate promptly with return, refund, product defect, delivery, and payment dispute investigations.
2. FindsWith.com may issue a buyer refund when required by law, the Returns & Refunds policy, payment network rules, or the facts of a case.
3. Costs attributable to product quality, inaccurate listings, fulfillment failure, or other Creator responsibility may be deducted from pending or available proceeds, reserves, or future settlements.

8. Taxes and Records

FindsWith.com handles transaction taxes only where the Platform is legally required and operationally configured to collect or remit them. You remain responsible for your income, business, payroll, customs, registration, reporting, and other Creator-specific tax obligations. You must provide accurate tax and compliance information when requested.

9. Intellectual Property

You retain ownership of your original work. You grant FindsWith.com a non-exclusive, worldwide license to host, display, reproduce, and promote product content as reasonably needed to operate and market the Platform. This license ends after account closure except where content must be retained for completed orders, disputes, legal compliance, or backups.

10. Suspension and Termination

We may pause listings, settlements, or Creator access when reasonably necessary to investigate safety, fraud, infringement, compliance, fulfillment, or payment risk. Obligations concerning completed orders, refunds, disputes, confidentiality, records, and outstanding balances survive termination.

11. Agreement Version and Related Policies

Acceptance is recorded with the Agreement version, timestamp, IP address, browser information, and associated Creator application. Material changes require a new version and renewed acceptance where appropriate. This Agreement incorporates the Terms of Service, Privacy Policy, and Returns & Refunds policy.
